Role Description – Shops Board NEDs

Information

St Luke’s Hospice Charity Shops (Harrow & Brent) Ltd is a trading company wholly owned by St Luke’s Hospice charity. The purpose of the company is to trade to generate funds (profit) for St Luke’s Hospice charity.

Under its Articles of Association, the trading company is governed by a Board of Directors, currently made up of 5 directors. Directors hold office for a maximum of 3 terms of 3 years, as determined by the Hospice’s Board of Trustees.

The time commitment for the role of Director is approximately one day per month. This comprises four Board meetings per year plus attendance at the St Luke’s Hospice’s annual Board Strategy Day.

The Directors of St Luke’s Hospice Charity Shops Board provide independent and impartial contributions and insights to the Board, including knowledge and experience of related specialist areas. Day to day management is delegated to paid professional staff who report to the Shops Board.

Key Responsibilities 

Governance

  • Work with the Chair and Directors in fulfilling their responsibilities for the governance of the company, by ensuring that it acts in accordance with its Articles.
  • Ensure that the company’s resources and assets are used efficiently and effectively to further the company’s business.

Strategic direction

  • Contribute to the strategic direction of the company, bringing an external perspective of the business environment.

Monitoring performance

  • Monitor the performance and progress towards achieving the company strategy and business objectives.
  • Ensure that the company’s financial performance is monitored and accurately reported externally.

Risk

  • Ensure the integrity of financial information
  • Ensure that financial controls and systems of risk management are robust.
  • Ensure that the company complies with its legal, regulatory and statutory duties and ensure that this is reviewed periodically.
  • Ensure that the company has a strong risk governance framework and that the Board reviews on a regular basis the key risks and ensures that these are actively managed.
  • Together with the Chair, Directors and Chief Executive, ensure that there is an effective safeguarding policy in place to keep all those who have contact with the shops company safe from harm and that this is regularly monitored.  

Communication

  • Help connect St Luke’s Hospice Charity Shops (Harow & Brent) Ltd with networks of organisations and individuals who can help the business and charity.
  • Represent the company externally, including across the network of shops.
